Terms of Service

This page is maintained by Up 1 Digital to explain the terms that apply to visitors and users of up1digital.ca and any related services described here.

By accessing or using our website, signing up for early access, or submitting a contact form, you agree to these Terms of Service (the "Terms"). If you do not agree to these Terms, please do not use the site or sign up for early access. We may update these Terms from time to time, and your continued use after changes means you accept the revised Terms.

Up 1 Digital provides two kinds of offerings through this site:

• Automation services for business clients. We design, build, and deploy AI-driven workflow automations and internal tooling for growing teams and solo operators. These services are delivered through direct engagement with clients.
• Early-access tools for content creators. The Up 1 Toolkit, beginning with PostLingual, is a set of in-development tools available for preview and early-access signup. These tools are not yet live products. Signing up expresses interest and may grant preview access if and when a tool becomes available.

The site itself is a marketing and informational presence, a contact channel, and a waitlist for future tools. It does not currently provide a self-service software platform.

You must be at least 18 years old, or the age of majority in your jurisdiction, whichever is higher, to use this site or sign up for early access. By using the site, you represent that you meet this requirement and that you have the right and authority to agree to these Terms.

Early-access tools are provided on an "as is" and "as available" basis for preview, feedback, and testing purposes. They are in-development and may change substantially, be delayed, or be discontinued before any public launch.

• Signing up for early access does not guarantee that you will receive access, that a tool will launch, or that any specific feature will be included in a final version.
• Early-access tools may contain bugs, incomplete features, or unexpected behavior. They may be unavailable, modified, or removed at any time without notice.
• We make no service-level, uptime, or performance guarantees for early-access tools. Any data you enter into a preview tool may be deleted without warning.

We appreciate your feedback during early access, but participation is entirely at your discretion and at our discretion to grant or revoke.

All content on this site, including text, graphics, logos, icons, images, audio, video, and software, as well as the Up 1 Digital name, logo, branding, and the overall design and arrangement of the site, are owned by Up 1 Digital or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may view, download, and print content from the site for your own personal, non-commercial reference, but you may not copy, modify, distribute, reproduce, republish, reverse-engineer, or create derivative works from any site content without our prior written permission.

Once a tool is live and available for use, you will own the content you generate using that tool, subject to these Terms and any additional terms specific to that tool. We do not claim ownership of your generated content, but we may need a limited license to operate the service, such as the right to process, store, and display your content while you use the tool.

You agree to use the site and any early-access tools only for lawful purposes and in a way that does not infringe the rights of others or restrict or inhibit their use and enjoyment of the site. Specifically, you may not:

• Misuse, reverse-engineer, decompile, disassemble, or attempt to discover the source code of the site or any future tool.
• Overload, damage, disable, or interfere with the site, its servers, or connected networks.
• Use any automated means, including bots, scrapers, or spiders, to access the site or extract data without our written consent.
• Submit unlawful, fraudulent, defamatory, obscene, harassing, or infringing content through any form or tool.
• Impersonate any person or misrepresent your affiliation with any person or organization.
• Violate any applicable law, regulation, or the rights of third parties.

We may suspend or terminate access for anyone who violates these rules.

Because early-access tools are previews and not finished products, we are not responsible for any issues that arise from using them. This includes lost content, interrupted workflows, incorrect outputs, or any decisions you make based on information produced by a preview tool.

If you choose to use an early-access tool, you do so at your own risk, with the understanding that the tool may not work as expected, may be incomplete, and may be discontinued before it becomes a live product.

The site and all content, services, and tools available through it are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not warrant that the site will be uninterrupted, secure, or error-free, or that any defects will be corrected. We do not endorse or guarantee any third-party content, links, or services that may be referenced on the site.

To the maximum extent permitted by applicable law, Up 1 Digital, its directors, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of or in connection with your use of the site or any early-access tool, even if we have been advised of the possibility of such damages.

We may suspend or terminate your access to the site or any early-access signup at any time, for any reason, without notice. This includes discontinuing an early-access tool, closing a waitlist, or revoking preview access.

You may stop using the site at any time. Provisions of these Terms that by their nature should survive termination, including those relating to intellectual property, disclaimers, and limitation of liability, will survive.

These Terms are governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law principles.

Nothing in these Terms is intended to limit any statutory consumer rights or other mandatory protections that apply to you under the laws of your own country, state, or province. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Material changes will be communicated through the Services or by other appropriate means where required by law. Your continued use of the site after changes take effect means you accept the revised Terms.
